1. About These Terms
These Terms of Service ("Terms") govern your use of the UniCoders Ltd website at unicoders.co.uk and the engagement of any services provided by UniCoders Ltd. By accessing our website or engaging our services, you agree to be bound by these Terms in full.
If you are engaging our services on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these Terms.
These Terms should be read alongside any specific project proposal, Statement of Work, or service agreement issued for your engagement, which will take precedence over these general Terms in the event of any conflict.

3. Services We Provide
UniCoders Ltd provides the following categories of services:
- Software Development — custom web applications, business systems, APIs, and backend solutions, individually scoped and estimated per project.
- Web and Mobile Application Development — end-to-end development for web, iOS, and Android platforms.
- UI/UX Design — wireframing, prototyping, and product design for web and mobile.
- IT Consulting — technology strategy, architecture advisory, and digital transformation services.
- Technology Training — online and face-to-face courses, workshops, and corporate training programmes.
- Online Learning Platform — subscription-based access to our digital course catalogue on monthly and annual plans.
- Maintenance Contracts — ongoing support and maintenance services provided under monthly or annual agreements.
All services are delivered remotely by our team. Specific engagements are governed by a written proposal or service agreement issued prior to commencement.
4. Engagement Process
4.1 Project Engagements
All development and consulting projects begin with a written proposal or Statement of Work outlining the scope, timeline, deliverables, and pricing. Work commences only upon written acceptance of the proposal and receipt of any required deposit.
4.2 Training and Courses
Access to individual training courses is granted upon successful payment. Corporate training engagements are subject to a separate written agreement.
4.3 Platform Subscriptions
UniCoders operates an online learning platform currently under development. Subscription terms will be published upon launch.
4.4 Maintenance Contracts
Maintenance services are provided under written maintenance agreements specifying scope, response times, and pricing. Contracts run on a monthly or annual basis.
5. Payment Terms
5.1 Project Deposits
A deposit is required before work commences on any development or consulting project. The deposit amount will be specified in the project proposal. Deposits are non-refundable once work has commenced.
5.2 Milestone Payments
For larger projects, payment is structured across milestones as defined in the project proposal. Each milestone payment is due upon completion and approval of the relevant deliverable.
5.3 Subscriptions
Platform subscription fees are billed in advance on a monthly or annual cycle. All subscription fees are non-refundable for the current billing period. Access continues until the end of the paid period upon cancellation.
5.4 Maintenance Contracts
Maintenance contract fees are billed monthly or annually in advance as specified in the maintenance agreement.
5.5 Late Payment
Where payment is overdue by more than 14 days, UniCoders Ltd reserves the right to suspend delivery of services until payment is received, and to charge statutory interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5.6 Currency
All fees are quoted and invoiced in Pounds Sterling (GBP) unless otherwise agreed in writing.
6. Intellectual Property
6.1 Client Deliverables
Upon receipt of full payment for a project, the client receives full ownership of the final deliverables as specified in the project proposal or Statement of Work.
6.2 UniCoders Retained Rights
UniCoders Ltd retains all rights to its proprietary tools, frameworks, methodologies, libraries, and background intellectual property used in the delivery of services. These are licensed to the client for use within the delivered product but remain the property of UniCoders Ltd.
6.3 Website Content
All content on the UniCoders Ltd website, including text, design, graphics, and code, is the intellectual property of UniCoders Ltd and is protected under applicable copyright and intellectual property law. You may not reproduce, distribute, or create derivative works from any website content without our prior written consent.
6.4 Training Materials
All course content, materials, videos, and resources available through our training programmes and online platform are the intellectual property of UniCoders Ltd. Access is granted for personal use only and may not be shared, resold, or redistributed.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This includes but is not limited to business plans, technical specifications, pricing, client lists, and project details. This obligation survives the termination of any engagement for a period of three years.
8. Data Protection
Both parties agree to comply with applicable data protection legislation including the UK General Data Protection Regulation and the Data Protection Act 2018. Our full Privacy Policy, available at unicoders.co.uk/privacy, explains how we collect and process personal data.
9. Warranties and Representations
UniCoders Ltd warrants that:
- Services will be delivered with reasonable skill and care.
- Deliverables will materially conform to the agreed specification at the time of delivery.
- We have the right to provide the services and grant the intellectual property rights described herein.
We do not warrant that our website will be available uninterrupted or error-free at all times, or that any defects will be corrected immediately.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
- UniCoders Ltd's total liability to you in connection with any engagement shall not exceed the total fees paid by you to UniCoders Ltd for the specific service giving rise to the claim during the preceding 12 months.
- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or reputational damage, howsoever caused.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
11. Termination
11.1 Client Termination
You may terminate an ongoing engagement by providing 30 days written notice to contact@unicoders.co.uk. Fees for work completed up to the termination date remain payable. Deposits and payments for completed milestones are non-refundable.
11.2 UniCoders Termination
We reserve the right to terminate or suspend services immediately where a client is in material breach of these Terms, has failed to make payment when due, or has engaged in conduct that is unlawful or harmful.
11.3 Effect of Termination
Upon termination, all outstanding fees become immediately payable. Completed deliverables remain the property of UniCoders Ltd until all outstanding payments are received in full.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
13. Amendments
UniCoders Ltd reserves the right to update these Terms of Service at any time. The date at the top of this page reflects the most recent revision. Where changes are material, we will provide reasonable notice. Continued use of our website or services following any update constitutes acceptance of the revised Terms.
14. Entire Agreement
These Terms, together with any specific project proposal, Statement of Work, or service agreement issued for your engagement, constitute the entire agreement between you and UniCoders Ltd with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
